About Mentor

Dr. Parineeta Goswami is an Assistant Professor of Law at the School of Law, UPES Dehradun, with a distinguished academic background in Corporate Law, Mergers and Acquisitions, Banking, and Insurance Laws. A silver medalist in LL.M. and a PhD holder from Rajiv Gandhi National University of Law, she is also a UGC-NET & JRF qualified scholar. Dr. Goswami has authored books on banking law and published numerous papers in Scopus and UGC CARE-listed journals. She is an active member of GALTER and SASCV and has chaired prestigious national legal events. Her expertise and leadership make her a vital contributor to academia.

About the course

This 6-Week Certificate Course on Corporate Law is designed to provide a practical and comprehensive understanding of key aspects of company law with a strong focus on drafting. The course begins with the basics of corporate law and company incorporation, including the drafting of the MOA, AOA, and incorporation forms. It then moves to corporate governance and management, covering the role of directors, KMPs, board meetings, and compliance with Secretarial Standards, alongside drafting of board resolutions, notices, and minutes. Participants will also explore shares, securities, and shareholder rights, including issues like buy-back, rights issue, and SEBI regulations, with drafting of share certificates, transfer deeds, and shareholder agreements. The course further delves into corporate contracts and transactions, introducing joint ventures, mergers, acquisitions, loan agreements, and debentures, supported by drafting of JV agreements, NDAs, and loan documents. In later weeks, focus shifts to corporate compliance and dispute resolution, covering annual filings, CSR, oppression and mismanagement, and insolvency under IBC, along with drafting of CSR policies and NCLT petitions. The final sessions deal with advanced topics such as corporate fraud, insider trading, and auditors’ roles, concluding with a capstone drafting workshop where students practice SPA and settlement agreements.
