ABSTRACT


Under Section 124 of the Indian Contract Act of 1872, indemnity is an obligation to hold a meeting repaid in the event of misfortune. A guarantee enables someone to receive credit for products or services in return for a legitimate payment. Whereas three parties have varying liabilities in a warranty agreement, two parties bear primary liability in an indemnification agreement. There are a few other comparisons, such as a guarantee having a sweeping law or a repayment that evolves on a regular basis.
Since guarantee (assurance) and indemnity (reimbursement) are made of the same material, there are some differences between the two, even though they are similar when it comes to remuneration and on basic values such as unjust enrichment (treacherous enhancement) and good faith.
Indebtedness
To be literally understood, indemnity implies “defense against loss” or “doing to reward or shield someone from loss or make good on a loss.” In essence, an indemnity contract is a promise made by one party to another that the first will reimburse the second party in the event that the latter suffers a loss. It is mentioned in Chapter VIII of Indemnity and Guarantee, Section 124 of the Indian Contract Act of 1872.
“A contract under which one party agrees to save the other from loss caused to him by the promisor’s actions or the conduct” is the definition of an indemnity agreement of some other individual.”

Guarantee
A contract of guarantee is an agreement to fulfil a pledge or release a third party from responsibility in the case of their default. A guarantee is simply defined as an obligation to provide for payment or performance. It is composed of the surety, the creditor, and the major debtor who all exist simultaneously.

The surety is the one who provides the assurance. In the event of default, the principal debtor is the individual to whom the assurance is given. The creditor is the individual to whom the guarantee is granted. A pledge might be made verbally or in writing. The goal of an assurance arrangement is to make it possible for someone to use a loan or a job to get a commodity advance. An agreement containing a guarantee is void without proper consideration.
The following are a guarantee contract’s basic components:
Tripartite Agreement:
An assurance arrangement involves three parties: the principal trustee, the creditor, and the surety. For an assurance deal to succeed, there must be three distinct agreements between the three parties, and each agreement needs to be consenting.

Existence of Responsibility:
The principal debtor bears the majority of the liability. Secondary obligation falls on the surety and can only be included in the event that the principal debtor defaults.

Essentials of a Valid Contract:
It preserves free agreement, respect, lawful purpose, and competency of contracting parties as to the essentials of a valid contract, much like every other general contract.

Contract Medium:
The Indian Contract Act, 1872, does not specifically state that a contract or guarantee must be in writing. It would be suitable to be written down orally.



Difference Between Indemnity and Guarantee
1. Number of Parties:
A bank loan, for example, has three parties: the creditor, the principal debtor, and the surety, while an indemnity bond only has two parties: the indemnifier and the indemnity holder.
2. Number of Contracts:
There is only one guarantee or contract in an indemnity agreement: the promise to pay if a loss happens. An implicit contract between the major debtor and the borrower, the creditor and the surety, and other parties are among the several assurances found in a pledge agreement debtor and the surety.
3. Nature:
An indemnity contract is for the repayment of a liability, while a warranty contract is for the creditor’s protection or confirmation.
4. Liability:
In a contract of indemnity, the indemnifier’s obligation is main (Fire Insurance), while in a contract of guarantee, the claimant is first, and the surety assumes secondary liability since the surety takes on secondary liability after the customer, who bears primary liability, defaults on payment.
5. Object:
In a contract of indemnity, such as Fire Insurance, the intention is to protect the other party against an unknown potential occurrence, while in a contract of promise, the purpose is to notify the other party of the fulfilment of a duty.
6. Variety:
A contract of indemnity has a narrow scope because it excludes contracts of guarantee, while a contract of guarantee has a broader scope because it contains a contract of indemnity.
7. Consideration:
At the start of the deal, indemnifiers receive consideration from the indemnity buyer, such as a premium in the case of fire insurance. Conversely, certainty is not given as much emphasis. The expected profit of the major debtor is the only thing that worries the surety.

The indemnifier has an interest in the contract other than indemnity, such as commission, while the surety has no other interest.

FACTS OF THE CASE
The lawsuit was submitted on September 6, 1996. In this instance, the petitioner obtained an insurance policy for a truck from the reputable Respondent business, which costs Rs. 2 lacs. The petitioner used the coverage from September 25, 1987, until September 24, 1998.
However, the truck’s driver finally took it when it was loaded with fish feed, and it was claimed that Khalasi assisted in the theft by attacking the petitioner’s father, who was riding in the same truck that was taken in accordance with company rules. The petitioner’s father suffered stabbing wounds on October 19, 1987.
In accordance with Indian Penal Code Sections 326, 307, 379, and 34, the report was submitted to Kotwali Police Station. Even the petitioner had told the company’s assistant branch manager in Kharagpur about the theft that had occurred.
